Orienwise’s corporate governance is structured in accordance with oversea listing standard. Board of directors is the main authority of the Group. Directors are appointed by shareholders on the pro rata basis of shareholding while the independent directors will be selected in line with international practice. A diversified and internationalized board of directors will better represent the interest of shareholders. Strategy making, execution and supervision will operate independently for better risk control. The group will also form risk management committee on basis of oversea listing standard.

The internationalized shareholding structure introduces advanced management thinking and talents which further enhances the management skills and risk control capability of Orienwise. Therefore, the business operation will gradually achieve international standard, while corporate governance, risk management, market reputation, profitability and business scale will reach a higher level.

Orienwise’s foreign shareholders:

Asia Development Bank (ADB) is a multilateral development financial institution in Asia-Pacific region owned by 64 member countries, 46 from Asia and 18 from other parts of the globe. ADB's vision is a region free of poverty. Its mission is to help its developing member countries reduce poverty and improve the quality of life of their citizens.

 

In April 2005, ADB invested US$ 10 million in Orienwise becoming the strategic investor of Orienwise. This is the first investment of ADB in private sector in China.

 

  

Citigroup Inc. is today’s pre-eminent financial services company, with some 200 million customer accounts in more than 100 countries, providing consumer banking, corporate banking, investment banking, insurance, assets management and other financial services.

 

In October 2005, Citibank Venture Capital (CVCI), one subsidiary of Citigroup acquired Orienwise’s new shares by US$ 25 million, becoming the second important strategic investor.

 

The Carlyle Group. founded in 1987 and headquartered in Washington, D.C., is one of the largest private equity firms in the world. Carlyle originates, structures and acts as lead equity investor in management-led buyouts, strategic minority equity investments, equity private placements, consolidations and buildups, and growth capital financings.

 

Today, it has US$35billion of committed capital and investments in more than 150 companies through 38 funds across four investment disciplines – buyouts, venture & growth capital, real estate and leveraged finance.

 

In March 2006, Carlyle acquired new shares of Orienwise by US$ 25 million becoming another strategic investor of the Group.
